1. Acceptance of These Terms
These Terms of Use ("Terms") form a binding legal agreement between you ("you," "your," or "User") and Kilu AI, a company incorporated in Kenya with its registered office in Nairobi, Kenya ("Kilu AI," "Company," "we," "us," or "our"). These Terms govern your access to and use of the Kilu AI website, application, application programming interfaces (APIs), and all related generative artificial intelligence video, image, audio, and chat services (collectively, the "Service").
By creating an account, accessing, browsing, or using the Service in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree to every provision of these Terms, you must not access or use the Service in any manner.
2. Description of the Service
Kilu AI provides a software platform that uses third-party and proprietary artificial intelligence models to generate synthetic video, image, and audio content from text prompts, user-supplied images, user-supplied video, user-supplied audio, and user-supplied scripts. The Service relies on infrastructure, models, and processing capacity licensed or procured from third-party providers, including but not limited to Agnes AI, Replicate, Inc., Google Cloud Platform, and Firebase.
3. Eligibility
You must be at least eighteen (18) years old to create an account or otherwise use the Service. By using the Service, you represent and warrant that you meet this age requirement and are not barred from using the Service under the laws of Kenya or your country of residence.
4. Accounts and Security
You are responsible for maintaining the confidentiality of any credentials used to access your account. You agree to notify us immediately at [email protected] of any unauthorized use of your account or any other breach of security.
5. License to Use the Service
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes. This license does not include any right to resell, reverse engineer, or circumvent security features of the Service.
6. Your Content, Uploads, and Likeness
6.3 Your Representations and Warranties Regarding Uploaded Faces, Voices, and Likenesses
Several AI Features allow you to upload a photograph, video, or voice recording of a human face or voice ("Likeness Content"). By uploading any Likeness Content, you represent and warrant that:
- You are the person depicted, or you have obtained the express, informed, and documented consent of every real, identifiable individual depicted;
- You will not upload any image or voice of any individual who has not consented, including public figures or private individuals;
- You will not upload any Likeness Content depicting a minor (any person under the age of 18) for animation purposes;
- You will not use the Service to create any sexual, intimate, or suggestive content depicting any real individual.
7. Acceptable Use Policy
You agree not to use the Service to generate non-consensual intimate imagery, defame individuals, impersonate others, or endanger minors. Kilu AI has a zero-tolerance policy for child sexual abuse material (CSAM). Any violation will result in immediate permanent termination and reporting to law enforcement, including the Kenyan Directorate of Criminal Investigations.
8. AI-Generated Output; No Warranty of Accuracy
The Service uses generative AI models that produce probabilistic Output. You acknowledge that Output may be inaccurate, incomplete, biased, or offensive. Kilu AI does not warrant, and expressly disclaims, the accuracy, completeness, or fitness for any particular purpose of any Output. Disclaimer: Kilu AI is not accurate, it can make mistakes and its work needs to be double checked.
9. Ownership of Output
Subject to your full compliance with these Terms, Kilu AI assigns to you such rights as Kilu AI may have in the Output generated specifically for you. You acknowledge that the copyrightability of AI-generated Output is unsettled and varies by jurisdiction.
11. Fees, Billing, and Third-Party Costs
Certain aspects of the Service may require payment of Fees. Except as required by applicable law, all Fees are non-refundable once a generation job has been submitted, as Kilu AI incurs immediate, non-recoverable costs from Third-Party Providers.
12. Suspension and Termination
We may suspend or terminate your access to the Service at any time and for any reason, including if we believe you have violated these Terms. You may terminate your account at any time by contacting us at [email protected].
13. Disclaimer of Warranties
THE SERVICE AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, KILU AI'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT OF FEES YOU PAID TO KILU AI IN THE PRECEDING TWELVE MONTHS, OR (B) FIVE THOUSAND KENYAN SHILLINGS (KES 5,000).
15. Indemnification
You agree to defend, indemnify, and hold harmless Kilu AI from any claims, damages, or expenses arising from your use of the Service or your User Content.
16. Governing Law and Dispute Resolution
These Terms shall be governed by the laws of the Republic of Kenya. Any dispute shall first be submitted to good-faith negotiation, and if not resolved, finally settled by arbitration administered by the Nairobi Centre for International Arbitration (NCIA) in Nairobi, Kenya.
